Question : Multiple NICS on Single Desktop

I have two NICS on my desktop, one is an onboard Gigabit card, the other is a PCI 3Com 100 mbit card, and I have XP Pro SP2. All I want to do is connect the gigabit to my LAN and connect the 3Com to a crossover cable over to a laptop (etc). This would enable me to directly connect to someone else's computer to transfer files and stay connected to my LAN / internet at the same time. Also, I guess I should be able to share the first LAN / Internet with the other card so that the laptop that is connected with me via crossover would be able to access the LAN / Internet as well...
How can I do this?
